Terms of Service
Tao Tax LLC
Effective date: July 31, 2026
These Terms of Service ("Terms") govern your use of the tao_tax software and website at taotax.io (the "Service"), operated by Tao Tax LLC, a Wyoming limited liability company ("we," "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. What the Service is — and is not
The Service is a self-service software tool that retrieves, classifies, and computes tax-relevant information about cryptocurrency transactions, particularly on the Bittensor network, and generates reports and data files (such as Form 8949 data) based on your inputs and settings.
The Service is designed for United States federal tax reporting and is offered to users in the United States. If you use it from elsewhere, you do so on your own initiative and are responsible for compliance with your local laws; outputs are not designed for non-US tax regimes.
The Service is not tax, legal, accounting, or financial advice. Tao Tax LLC is a software company. Your use of the Service does not create a client relationship of any kind — including any CPA-client, accountant-client, attorney-client, or tax-preparer relationship — with Tao Tax LLC, its members, owners, or employees, regardless of any professional credentials they may hold individually. No communication through the Service, its documentation, or its support channels constitutes professional advice.
Tax treatment of digital assets — including staking rewards, subnet token transactions, and cost basis methods — involves unsettled areas of law. The Service applies documented methodologies and, in some cases, elections between alternative positions (which may carry disclosure requirements, such as IRS Form 8275). You are solely responsible for reviewing all outputs, selecting appropriate settings and elections, and for the accuracy of any tax return you file. We strongly recommend review by a qualified tax professional before filing.
2. Beta features — Tax Year 2025
Support for tax year 2025 is currently in beta. Beta features are under active development and testing. They may contain bugs, produce incomplete or incorrect classifications, calculations, or reports, change without notice, or be unavailable at times. Outputs generated by beta features require particular scrutiny before use in any filing. We label beta features in the application where practical. Your use of beta features is at your own risk, and the disclaimers and liability limits in Sections 8 and 9 apply with full force to them.
3. Accounts
You must be at least 18 and provide accurate account information. You are responsible for safeguarding your sign-in method (your email account or Google account — the Service is passwordless) and for all activity under your account. Never provide us your private keys or seed phrases; the Service only ever requires public wallet addresses and read-only data.
On first sign-in you choose an account type — individual or firm — and this choice is currently permanent for that account. Contact support@taotax.io if you chose incorrectly.
Firm accounts. If you use a firm account, you represent and warrant that: (a) you are authorized to act for the firm and bind it to these Terms; (b) for every client whose information you submit — names, email addresses, wallet addresses, exchange records — you have the client's authorization or another lawful basis to do so; and (c) you will handle reports and data obtained through the Service in accordance with your own professional and confidentiality obligations. You are responsible for the actions of team members you invite.
4. Your data and our use of it
You retain all rights to the data you provide and the reports generated for you. You grant us the limited license needed to operate the Service (storing, processing, and displaying your data to you). Our handling of your data, including the protections for tax return information under 26 U.S.C. §7216, is described in our Privacy Policy, which is incorporated into these Terms.
You are responsible for the accuracy and completeness of the data you provide — including wallet addresses, exchange records, and manual classifications or overrides. Outputs are only as accurate as the inputs and settings you supply.
5. Contribution payments
Access to certain reports for tax year 2025 is provided under a contribution model: you choose the amount you pay in TAO, including a suggested amount, a custom amount, or zero. All contribution payments are final and non-refundable. Contributions are payments for software access, not donations to any charitable organization.
You acknowledge that transferring TAO to us is itself a disposal of a digital asset that may have tax consequences for you. Where you pay from a wallet tracked in your account, the Service records that disposal automatically; you remain responsible for verifying it.
Prices and USD values for TAO are determined at the time of payment using the Service's documented pricing sources. You are responsible for any taxes applicable to your purchase other than taxes on our income.
Access to other tax years or features may be offered under priced invoices, stated in USD and payable in supported cryptocurrencies (currently TAO or on Base). An invoice must be paid before it expires to unlock access; send exactly the invoiced asset to exactly the displayed address — we are not responsible for funds sent to a wrong address or in an unsupported asset. The same finality terms apply: payments are non-refundable once access is granted, except where required by law. Price changes are prospective and never revoke access already granted.
6. Acceptable use
You agree not to: use the Service to violate any law; probe, disrupt, or overload our infrastructure; attempt to access other users' data; scrape or resell the Service; reverse engineer the software except where permitted by law; or submit data you have no right to use. We may suspend or terminate accounts that violate these Terms.
7. Intellectual property
The Service, including its software, methodologies, and branding, is owned by Tao Tax LLC and protected by law. These Terms grant you no rights in the Service other than the limited right to use it while these Terms are in effect. Feedback you send us may be used without obligation to you.
8. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT OUTPUTS ARE ACCURATE, COMPLETE, OR COMPLIANT WITH ANY TAX AUTHORITY'S REQUIREMENTS; THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; OR THAT DEFECTS WILL BE CORRECTED. THIRD-PARTY DATA SOURCES (BLOCKCHAIN INDEXERS, PRICE FEEDS, EXCHANGE RECORDS) MAY THEMSELVES BE INCOMPLETE OR INACCURATE.
Some jurisdictions do not allow certain warranty disclaimers; in those jurisdictions, the above applies to the maximum extent permitted.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) TAO TAX LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR TAX DEFICIENCIES, PENALTIES, OR INTEREST ASSESSED BY ANY TAX AUTHORITY, ARISING FROM OR RELATED TO THE SERVICE; AND (b) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE OR ONE HUNDRED U.S. DOLLARS ($100).
10. Indemnification
You will indemnify and hold harmless Tao Tax LLC and its members from claims arising out of your violation of these Terms, your data, or your tax filings.
11. Termination
You may close your account at any time (export your reports first — see the Privacy Policy on deletion). We may suspend or terminate the Service or your account for violation of these Terms or if required by law. Sections 4 and 7–13 survive termination.
12. Governing law; disputes; arbitration
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Any dispute that cannot be resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules; you and Tao Tax LLC each waive the right to a jury trial and to participate in a class action. Either party may instead bring an individual claim in small-claims court. You may opt out of this arbitration provision by emailing support@taotax.io within 30 days of first accepting these Terms. Nothing in this section deprives you of consumer protections that cannot be waived under the law that applies to you.
13. Changes; miscellaneous
We may update these Terms; material changes will be notified by email or in-app notice at least 14 days before taking effect, and continued use constitutes acceptance. If any provision is unenforceable, the remainder stands. These Terms plus the Privacy Policy are the entire agreement between you and us regarding the Service.
